TERMS OF SERVICE AGREEMENT

The Student Dental Business Organization (SDBO)
Effective Date: 03/01/2026

These Terms of Service (“Agreement”) govern your access to and use of membership, educational content, resources, benefits, and services provided by The Student Dental Business Organization (“SDBO,” “we,” “us,” or “our”).

By applying for, enrolling in, or maintaining membership in SDBO, you (“Member,” “you,” or “your”) agree to be legally bound by this Agreement.

1. Purpose of Organization

SDBO is an educational and professional development organization designed to provide dental students with business education, leadership development, and access to resources intended to prepare members for private practice ownership and entrepreneurial success in dentistry.

SDBO does not provide legal, financial, accounting, tax, or clinical dental advice.

2. Eligibility for Membership

Membership is available to:

  • Current dental students
  • Pre-dental students (if approved)
  • Dental residents
  • Other individuals approved at SDBO’s discretion

SDBO reserves the right to approve, deny, suspend, or terminate membership at its sole discretion.

3. Membership Benefits

Membership may include, but is not limited to:

  • Access to educational content (live or recorded)
  • Webinars, workshops, and training events
  • Business resources and templates
  • Networking opportunities
  • Access to partner discounts, services, and preferred vendor relationships
  • Community platforms or discussion groups
  • Special events or conferences

Benefits are subject to change, modification, or discontinuation at SDBO’s discretion without prior notice.

Partner benefits are provided by third parties and are subject to those third parties’ independent terms and conditions.

4. No Professional Advice

All content, materials, and resources provided by SDBO are for educational and informational purposes only.

SDBO does not:

  • Provide legal advice
  • Provide financial or investment advice
  • Provide tax advice
  • Provide accounting advice
  • Guarantee business outcomes

Members are encouraged to consult licensed professionals before making legal, financial, or business decisions.

5. Membership Fees and Payment

Membership fees, if applicable:

  • Are due in advance
  • May be annual or monthly
  • Are non-refundable unless otherwise stated in writing

Failure to pay fees may result in suspension or termination of membership benefits.

SDBO reserves the right to modify membership fees at any time.

6. Intellectual Property

All SDBO materials, including but not limited to:

  • Course materials
  • Templates
  • Training content
  • Logos
  • Branding
  • Presentations
  • Written materials
  • Videos and recordings

Are the exclusive intellectual property of SDBO unless otherwise stated.

Members may use materials solely for personal educational use. Members may not:

  • Reproduce
  • Distribute
  • Sell
  • Share login credentials
  • Record live sessions without permission
  • Create derivative works

Unauthorized use may result in termination and legal action.

7. Confidentiality and Community Standards

Members agree to:

  • Maintain confidentiality of proprietary materials
  • Not share access credentials
  • Respect other members
  • Refrain from harassment, discrimination, or defamation
  • Not use SDBO platforms for solicitation without written approval

SDBO may remove any content or member that violates these standards.

8. Partner Relationships and Third-Party Services

SDBO may partner with third-party vendors, sponsors, or service providers.

SDBO:

  • Does not control third-party services
  • Makes no representations or warranties about partner services
  • Is not responsible for disputes between Members and third parties

Any agreements with third parties are independent from this Agreement.

9. Assumption of Risk

Participation in business education, networking events, or business ventures involves inherent risks. Members assume all risk associated with:

  • Starting or purchasing a dental practice
  • Business investments
  • Financial decisions
  • Partnerships
  • Contract negotiations

SDBO shall not be liable for business losses or decisions made by Members.

10. Limitation of Liability

To the fullest extent permitted by law:

SDBO shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits
  • Business interruption
  • Data loss
  • Professional malpractice claims

SDBO’s total liability shall not exceed the total membership fees paid by the Member in the preceding 12 months.

11. Indemnification

Member agrees to indemnify, defend, and hold harmless SDBO, its officers, directors, employees, volunteers, contractors, and affiliates from any claims, damages, losses, or liabilities arising out of:

  • Member’s misuse of materials
  • Member’s business decisions
  • Member’s violation of this Agreement
  • Member’s interactions with third parties

12. Privacy

SDBO may collect personal information necessary for membership administration.

By joining, you consent to:

  • Email communications
  • Event notifications
  • Educational updates

SDBO will not sell Member data but may share information with partners for approved membership benefits.

Members may opt out of marketing communications at any time.

13. Termination

SDBO may terminate membership for:

  • Breach of this Agreement
  • Non-payment of membership dues
  • Misconduct
  • Intellectual property violations

Upon termination:

  • Access to resources immediately ceases
  • No refunds will be provided unless required by law

14. Modification of Terms

SDBO may modify these Terms at any time. Continued membership constitutes acceptance of revised Terms.

15. Governing Law

This Agreement shall be governed by and construed under the laws of the State of ____________, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes arising from this Agreement shall be resolved by:

  • Good faith negotiation first
  • Binding arbitration in the State of ____________, if negotiation fails

Members waive the right to participate in class action litigation.

17. Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

This Agreement constitutes the entire agreement between Member and SDBO and supersedes any prior understandings.

19. Acknowledgment

By enrolling in SDBO membership, you acknowledge that you:

  • Have read this Agreement
  • Understand its terms
  • Agree to be legally bound
